Terms of Business
These terms outline the general basis on which The Small Desk Limited provides digital strategy, design, development and search services. Project-specific terms in an accepted proposal or statement of work will also apply.
1. Scope of Services
The Small Desk Limited provides digital strategy, website and landing-page design and development, ecommerce, web and mobile application development, SEO, GEO, AI-enabled product features, and related consulting services as agreed in writing with each client.
2. Engagement and Fees
Fees, timelines, deliverables, and any ongoing support arrangements are defined in the relevant proposal, statement of work, or invoice. Unless otherwise agreed, work begins only after written approval and receipt of any required deposit.
3. Client Responsibilities
Clients are responsible for providing timely access to websites, analytics tools, advertising platforms, business information, and other materials needed to complete the agreed work. Delays in access or approvals may affect timelines.
4. Third-party Platforms and Outcomes
Project outcomes may be influenced by third-party platforms, search algorithms, app stores, hosting providers, integrations, competition, and market conditions. The Small Desk Limited does not guarantee specific rankings, traffic volumes, approval by third-party platforms, or commercial outcomes.
5. Intellectual Property
Upon full payment of agreed fees, clients will own the final deliverables created specifically for their business, excluding any third-party tools, licensed materials, frameworks, or pre-existing proprietary methodologies owned by The Small Desk Limited.
6. Confidentiality
Both parties agree to keep confidential information private and to use it only for the purpose of delivering or receiving the agreed services, unless disclosure is required by law.
7. Limitation of Liability
To the maximum extent permitted by law, The Small Desk Limited will not be liable for indirect, incidental, special, or consequential losses arising from the engagement. Total liability is limited to the fees paid for the relevant services.
8. Termination
Either party may terminate an engagement in accordance with the notice period stated in the relevant agreement. Fees for work completed up to the termination date remain payable.
